IP Valuation & Transfer Pricing

At Copenhagen Economics, we offer consulting on Intellectual Property (IP) valuation and Transfer Pricing (TP) strategies, helping our clients to navigate the complex and changing global tax policy environment and quantify the economic value of intellectual property.  We develop customised solutions using sophisticated economic models and valuation techniques to both ensure compliance with regulations and serve the best interests of our clients.

TRANSFER PRICING

International regulators and governments are widening their global tax policy remits, making it critical for companies to establish robust TP and IP structures to achieve corporate success in a fast-changing environment.

Companies must ensure that their practices are both legally compliant and serve their own best interests, whether these fresh challenges arise from new regulations, heightened scrutiny, an expansion of a geographical footprint, or acquisitions. Balancing complex and intricate needs may seem daunting, but it is achievable. We create tailored solutions using advanced economic models and valuation methods to meet the unique requirements of each client.

We work with private multinational companies, law firms and tax authorities, and are well-versed in the design of global TP policies and defending TP systems in tax audits and tax litigation proceedings. We specialise in:

  • identifying relevant TP transactions
  • determining the most appropriate structures and methods to ensure proper arm’s-length pricing
  • ensuring documentation compliance with OECD and local legislation

We are able to determine and defend an arm’s length remuneration structure for (hard-to-value) intangibles and high value-adding services, including brands, know-how and technologies. In addition, we have global experience (particularly in Europe, the US, Latin America and Africa), and often focus on complex transactions where multiple parties contribute to developing the intangible.

IP VALUATION

We provide valuation support for intellectual property to private companies and law firms, whether for dispute resolution or strategic purposes. While our valuation models are robust and customised to account for the unique characteristics of the IP and the client’s needs, we have extensive experience in IP-intensive industries such as healthcare, pharmaceuticals, automotive, chemicals, and software.

Our team possesses extensive experience in disputes and litigation and can assist in determining the value of intellectual property, such as in cases of patent or trademark infringements, breach of contracts, or trade secret theft. We carry out damage assessments to establish lost profits, reasonable royalties, and price erosion, and provide expert testimony in court when required.

When it comes to strategy and monetisation, we help our clients conduct IP valuations for the purposes of M&A and internal decision making, to attract financing, or for the divestment of non-core IP. We also determine licence rates and licence structures for internal or external in- or out-licencing of IP.

VALUATION

We help private companies and law firms conduct valuations across a wide range of investments and for various purposes. These include financial reporting, tax and transfer pricing, M&A, state aid, and disputes and litigation matters. Additionally, we provide fairness opinions and conduct fair-value assessments.

As valuators, we combine industry-specific expertise with an in-depth knowledge of finance, economics, and econometrics to conduct state-of-the-art valuations. These are always customised to the client’s specific needs or the situation at hand.

Our team is equipped to value a wide range of investments, including:

  • company valuations (e.g. share valuations, valuations of start-up companies and private companies)
  • asset group valuations (e.g. fund portfolio valuations and carve-out valuations)
  • individual asset valuations (e.g. valuations of IP, financial instruments, complex physical assets and early-stage technologies).

We help our clients with

We support private firms, particularly in IP-heavy sectors, including the branding industry, healthcare, pharma, automotives and chemicals. Our team has broad experience in terms of disputes and litigation, and can help to determine the value of an IP, for example in cases of patent or trademark infringements, breach of contract or trade secret theft. We conduct damage assessments in such areas as lost profits, reasonable royalties and price erosion, and provide expert opinion in court when needed.

In terms of strategy and monetisation, we help in IP valuations for M&A purposes, internal decision making, attracting finance and determining market potential or for the divestment of non-core IP. We also determine licence rates and licence structures for internal or external out-licencing of IP.

Economics of IP valuation and transfer pricing is our core expertise, and we develop robust valuation models that are customised to consider the unique features of the IP in question and the needs of the client.

Working with private multinational companies, law firms and tax authorities, we are well-versed in the design of global transfer pricing policies and defending TP systems in tax audits and tax litigation proceedings. We can identify relevant TP transactions, determine the most appropriate structures and methods and ensure proper arm’s length pricing, while ensuring documentation compliance with OECD and local legislation.

We have global experience (particularly in Europe, the US. Latin America and Africa), often focussed on complex transactions where multiple parties contribute to developing the intangible.
